Terms of Service

1. Acceptance of Terms

By accessing and using MentorSub (“the Service”), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

MentorSub is a mentorship platform that connects mentors and mentees in the technology industry. We provide tools for communication, scheduling, and managing mentorship relationships. The Service includes both free and paid features.

3. User Accounts and Responsibilities

To use our Service, you must:

  • Be at least 18 years old or have parental consent

  • Provide accurate and complete registration information

  • Maintain the security of your account credentials

  • Be responsible for all activities under your account

  • Notify us immediately of any unauthorized use

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations

  • Harass, abuse, or harm other users

  • Share inappropriate, offensive, or harmful content

  • Attempt to gain unauthorized access to our systems

  • Use the platform for commercial purposes outside of legitimate mentorship

  • Impersonate others or provide false information

5. Mentorship Relationships

MentorSub facilitates connections between mentors and mentees but is not responsible for:

  • The quality or outcome of mentorship relationships

  • Disputes between mentors and mentees

  • The accuracy of user profiles or expertise claims

  • Ensuring compatibility between matched users

Users engage in mentorship relationships at their own discretion and risk.

6. Payment Terms

Mentee Payments:

  • Mentees purchase session credits in advance via Stripe

  • Credits are non-refundable unless required by law and expire 90 days after purchase

  • We may change our pricing with 30 days notice

  • All prices are in New Zealand Dollars (NZD) and include GST where applicable

Mentor Payments:

  • Mentors are paid a fixed per-session fee based on their agreed payment tier

  • MentorSub does not deduct withholding tax from mentor payments; mentors are responsible for their own tax obligations

  • Payments are processed via bank transfer after invoices are reviewed and approved

  • Mentors must provide accurate bank account and tax information to receive payments

7. Buyer-Created Tax Invoices

By registering as a mentor on MentorSub and providing your payment details, you agree that MentorSub Limited will issue buyer-created tax invoices on your behalf for mentorship services you provide through the platform. This means:

  • MentorSub will create invoices on your behalf for each completed mentorship session

  • If you are registered for GST in New Zealand, these will be issued as buyer-created tax invoices and will include your GST number

  • You agree not to issue your own tax invoices for services covered by a buyer-created tax invoice from MentorSub

  • Invoice documents are available for download from your earnings page and should be retained for your tax records

  • GST status is recorded at the time of invoice creation; subsequent changes to your GST registration will not affect previously issued invoices

8. Intellectual Property

The Service and its original content, features, and functionality are owned by MentorSub and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Users retain ownership of their own content but grant us a license to use it in connection with providing the Service.

9. Privacy

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason in our sole discretion.

11. Disclaimers and Limitation of Liability

The Service is provided “as is” without warranties of any kind. We do not guarantee that the Service will be error-free or uninterrupted. In no event shall MentorSub be liable for any indirect, incidental, special, consequential, or punitive damages.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the new Terms of Service on this page and updating the “Last updated” date. Your continued use of the Service after such modifications constitutes acceptance of the updated terms.

13. Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction in which MentorSub operates, without regard to its conflict of law provisions.
